BEMAC Corporation (Headquarters: Imabari City, Ehime Prefecture, Japan; President: Masato Oda; hereinafter referred to as \u201cBEMAC\u201d) hereby announces that it has decided to acquire all shares held by Mitsui & Co., Ltd. (Headquarters: Chiyoda-ku, Tokyo, Japan; President and CEO: Kenichi Hori; hereinafter referred to as \u201cMitsui\u201d) in The Switch Engineering Oy (Headquarters: Vaasa, Finland; hereinafter referred to as \u201cTSW\u201d), a subsidiary in which the Company currently holds a majority stake, thereby making TSW a wholly owned subsidiary of BEMAC.<\/p>\n

BEMAC and Mitsui entered into a share purchase agreement dated May 15, 2026.<\/p>\n
\u00a0<\/strong><\/p>\n 1.Purpose of the Share Acquisition<\/strong><\/p>\n Under its \u201cLong-Term Vision 2032,\u201d BEMAC has set forth the goal of \u201creducing global greenhouse gas emissions.\u201d In addition to its existing businesses in main switchboards, monitoring and control panels, and related systems, BEMAC has been working to build a business structure that contributes to GHG reduction in the maritime industry by comprehensively providing electrical plants for vessels, including power generation, power distribution, energy storage, control and monitoring.<\/p>\n <\/p>\n As an important step toward this goal, BEMAC acquired TSW in February 2024 through a joint investment with Mitsui. TSW offers highly advanced products in the fields of permanent magnet machines (PMM), DC distribution solutions, motor drive inverters, and high-speed induction motors. Since the acquisition, the three companies have worked together to strengthen the business foundation and enhance corporate value.<\/p>\n <\/p>\n Following the steady strengthening of the business foundation and enhancement of corporate value under the joint management with Mitsui, BEMAC and Mitsui held constructive discussions regarding future growth and strategic development. As a result, the two companies concluded that making TSW a 100% subsidiary of BEMAC would be the most suitable course of action.<\/p>\n <\/p>\n Through this transaction, BEMAC will further accelerate product development, technological integration, and market expansion in the fields of PMM, DC distribution solutions and other technologies possessed by TSW, by enabling faster decision-making within the group and the integrated use of management resources. BEMAC will thereby further promote the sustainable growth of TSW and the BEMAC group and maximize their business value.<\/p>\n <\/p>\n \u00a0<\/strong><\/p>\n 2.Details of the Share Acquisition<\/strong><\/p>\n BEMAC will acquire all shares in TSW held by Mitsui.<\/p>\n As a result, TSW will become a wholly owned subsidiary of BEMAC.<\/p>\n \u00a0<\/strong><\/p>\n 3.Future Initiatives<\/strong><\/p>\n On May 15, 2026, BEMAC, TSW and Mitsui entered into a memorandum of understanding to continue advancing their strategic partnership, building upon the collaborative relationship established to date.
